AGREEMENT TO THESE TERMS

These Terms of Use ("Terms") are a binding agreement between you and StrideUp LLC, a Wyoming limited liability company ("StrideUp," "we," "us," or "our"). They govern your access to and use of the StrideUp website, platform, and all programs, content, and services we offer (together, the "Platform").

By creating an account, purchasing a subscription, or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Platform.

We may publish supplemental terms for specific programs, promotions, or features. Where supplemental terms conflict with these Terms, the supplemental terms apply to that specific program or feature.

ELIGIBILITY

You may use the Platform only if you can form a binding contract under the laws that apply to you. If you are below the age of majority in your jurisdiction, you may use the Platform only with the consent and supervision of a parent or legal guardian, who must read and accept these Terms on your behalf and who is responsible for your use of the Platform.

The Platform is not directed at children under 13, and we do not knowingly collect personal information from children under 13. If we learn that we have done so, we will delete that information promptly.

Access from any jurisdiction where use of the Platform would be unlawful is prohibited. You are responsible for compliance with your local laws.

ACCOUNTS AND REGISTRATION

To access most features, you must create an account. You agree to provide accurate, current, and complete information at registration and to keep it updated. You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately at contact@strideup.org if you believe your account has been accessed without authorization.

We recommend registering with a personal email address you will retain long-term. If you register through an institution and later lose access to that email, we may not be able to transfer your account history, progress records, or wallet balances to a different account.

We may refuse, reclaim, or require you to change a username that is misleading, offensive, infringing, or impersonates another person.

SUBSCRIPTION PLANS AND BILLING

StrideUp offers paid subscription plans, currently Starter, Strider, and Founder, each unlocking a defined set of features described on our pricing page at the time of purchase. Feature descriptions on the Platform at the time you subscribe form part of your agreement with us.

Subscriptions are billed monthly in advance and renew automatically until cancelled. By subscribing, you authorize us and our payment processors to charge your selected payment method each billing cycle. Prices are stated in the currency displayed at checkout and may exclude applicable taxes, which will be shown before you confirm payment. We may change subscription pricing with advance notice; changes take effect at your next renewal.

You may upgrade at any time; upgrades take effect immediately with a prorated or full charge as displayed at the time of upgrade. Downgrades and cancellations take effect at the end of the current billing period. Some features, including certain program enrollments, have tier requirements or completion prerequisites described in these Terms and on the Platform.

Access to the Founder plan requires prior completion of the Entrepreneurship Internship program. Purchasing a subscription does not by itself entitle you to enrollment in any capacity-limited program.

REFUNDS AND CANCELLATION

You may cancel your subscription at any time through your account settings. Cancellation stops future billing; it does not entitle you to a refund of amounts already paid except where required by applicable law or expressly stated in a written refund policy published on the Platform.

Because subscriptions are billed monthly and unlock immediate access to digital content and program benefits, payments already made are non-refundable, including for partial billing periods, except where a refund is required by the consumer protection laws of the country where you live or is expressly offered in writing by StrideUp. If you cancel, you keep access to your paid features until the end of your current billing period.

STRIDE CREDITS

Stride Credits are a benefit of paid membership. For each qualifying subscription payment, an equivalent value of Stride Credits accrues to a single running wallet associated with your account, beginning with your first payment.

Stride Credits are not money. They have no cash value, cannot be redeemed for cash, cannot be transferred or sold, and are not a deposit, stored value, or financial instrument. They may be redeemed only toward eligible opportunities we or our redemption partners make available, such as approved higher education pathways, partner scholarship programs, and designated experiences, subject to the eligibility rules of your subscription tier.

Redemption toward any single opportunity is capped at the cost of that opportunity. Unused balances remain in your wallet for use toward other eligible opportunities, including those offered through our redemption partners. Redemption opportunities, partners, and eligibility rules may change over time, and availability of any specific opportunity is not assured.

If your subscription is cancelled or lapses, your Stride Credits balance is frozen on the date your paid access ends. If you reactivate a paid subscription within 90 days, your full balance is restored. If you do not reactivate within 90 days, the frozen balance is forfeited. Balances are also forfeited if your account is terminated for breach of these Terms.

Stride Credits are distinct from Stride Points. Stride Points track learning progress and platform activity and are governed by the rules published within the Platform.

LEARNING PROGRAMS AND CONTENT

The Platform provides structured learning content organized around StrideUp's curriculum framework. Content is provided for your personal, non-commercial education. We may add, revise, retire, or reschedule content and programs to keep the curriculum current.

Program descriptions, projected timelines, and stage structures describe how the Platform is designed to work. Your individual pace and results depend on your own effort and circumstances.

WORK EXPERIENCE PROGRAMS

Eligible subscribers may participate in Work Experience programs: structured, project-based engagements designed to build demonstrable skills through real work scenarios.

Participation in a Work Experience program does not create an employment, agency, partnership, or contractor relationship between you and StrideUp, or between you and any organization featured in or associated with a program. Work Experience programs are educational in nature. You are not entitled to wages, benefits, or employment rights arising from participation.

Enrollment in specific Work Experience tracks may be limited by capacity, prerequisites, schedule, or subscription tier. Completion requires meeting the published criteria for that program, including deliverable and evaluation requirements.

Work you produce in a Work Experience program may be reviewed, evaluated, and used for educational and program-improvement purposes as described in the User Content section below.

GLOBAL EXPERT COACHING

Global Expert Coaching is available to eligible subscription tiers as described on the pricing page. Coaching is delivered in a group format on a recurring monthly schedule. Coaching sessions provide general educational guidance to the group; they are not individual advisory sessions, and no personal, one-to-one coaching relationship is created. Session topics, coaches, scheduling, and format may change. Missed sessions are not credited or refunded.

Coaching content is educational and informational. It is not professional, legal, financial, medical, or career placement advice.

FOUNDER TIER TOOLS

The Founder plan includes access to business infrastructure tools, such as branded booking, payment collection, workflow automation, and client management features, some of which are provided through third-party technology we license. These tools are provided to support ventures you choose to build. You are solely responsible for your own business activities, including their legality, taxes, customer obligations, and compliance in your jurisdiction. StrideUp is not a party to any transaction between you and your customers and does not assume responsibility for your business outcomes.

Your use of any third-party technology underlying these tools may also be subject to that provider's terms, which we will make available or reference where applicable.

CERTIFICATES AND VERIFICATION

Certificates, badges, and records issued by StrideUp certify one thing: that you completed a defined program and produced the associated proof of work. They are not professional licenses, accredited academic qualifications, or representations of employability or job readiness. You may share your certificates and verified records, but you may not alter them or present them as something they are not.

We may provide verification of certificates to third parties at your request or with your consent.

NO EMPLOYMENT, PLACEMENT, OR ADMISSION ASSURANCE

StrideUp exists to help you build skills, complete real work, and generate verifiable proof of what you can do. What any employer, university, or institution decides to do with that proof is their decision alone.

Nothing on the Platform is a promise of employment, job placement, interviews, salary levels, university admission, scholarship awards, or any other third-party outcome, unless a specific written contract for a specific purchased program expressly states otherwise. Statistics, testimonials, and success stories describe individual experiences and are not predictions of your results.

INSTITUTIONAL ACCESS

If your access is provided through a school, college, university, or other institution, additional terms may apply between StrideUp and that institution. Your institution may receive information about your enrollment, progress, and completion as part of that arrangement, as described in our Privacy Policy. If your institutional access ends, continued use of the Platform may require a personal subscription. Wallet balances and benefit accrual rules for institution-funded seats are governed by the terms of the applicable institutional agreement.

ACCEPTABLE USE

You agree to use the Platform only for its intended educational and program purposes. You must not:

  • Break the law, or use the Platform to plan or carry out unlawful activity
  • Share, sell, or transfer your account, or access another person's account
  • Copy, scrape, harvest, or systematically extract content, data, or user information
  • Circumvent access controls, tier restrictions, program prerequisites, or security features
  • Upload malicious code or interfere with the operation of the Platform
  • Harass, threaten, abuse, or intimidate other learners, coaches, staff, or partners
  • Misrepresent your identity, credentials, or the authorship of submitted work
  • Submit work that is plagiarized or generated in violation of a program's published rules
  • Use the Platform to advertise, solicit, or run commercial schemes not authorized by us
  • Use automated tools, bots, or scripts to access the Platform except through interfaces we expressly provide
  • Reverse engineer, decompile, or attempt to derive the source code of the Platform

Violations may result in removal of content, loss of program standing, suspension, or termination, and where appropriate, referral to law enforcement.

USER CONTENT

You may submit content to the Platform, including project deliverables, portfolio items, posts, comments, reviews, and feedback ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant StrideUp a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and adapt that content for the purposes of operating, evaluating, improving, and promoting the Platform and its programs. Where we wish to feature your identifiable work or likeness in marketing beyond the Platform, we will seek your consent.

You are responsible for your User Content. You confirm that it is your own work or that you have the rights needed to submit it, that it does not infringe anyone's rights, and that it complies with the Acceptable Use section. We may remove or decline to display any User Content at our discretion, and we have no obligation to monitor it.

If you send us ideas, suggestions, or feedback about the Platform, we may use them without restriction or compensation.

STRIDEUP INTELLECTUAL PROPERTY

The Platform, including its curriculum, program designs, frameworks, assessments, software, text, graphics, logos, and the StrideUp name and marks, is owned by or licensed to StrideUp and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your personal education while your account is in good standing. No other rights are granted. You may not reproduce, distribute, sell, or create derivative works from Platform content without our prior written permission.

THIRD-PARTY SERVICES AND LINKS

The Platform relies on carefully selected third-party technology providers for functions such as learning delivery, payments, communications, assessments, and business tools, and may contain links to external websites and resources. Third-party services are governed by their own terms and privacy policies. We do not control third-party websites and are not responsible for their content, accuracy, or practices. Any dealings you have with third parties found through the Platform, including redemption partners and payment providers, are between you and that third party.

PROGRAM AVAILABILITY AND CHANGES

We are building the Platform continuously. We may modify, suspend, or discontinue any feature, program, coaching offering, Work Experience track, redemption opportunity, or tier benefit at any time. Where a change materially reduces the paid benefits of your current subscription, we will give you reasonable notice and you may cancel before your next renewal. We do not warrant that the Platform will be uninterrupted or error-free, and we are not liable for downtime, maintenance, or events beyond our reasonable control.

PRIVACY AND DATA

Our Privacy Policy explains what personal information we collect, how we use it, where it is processed, and the choices you have. It forms part of these Terms. By using the Platform you consent to the processing of your information as described there, including transfers to the countries where our infrastructure and service providers operate. If you access the Platform through an institution, the Privacy Policy also describes what that institution can see.

COMMUNICATIONS

By creating an account, you consent to receive service communications from us by email, in-platform messaging, SMS, or phone, including onboarding, program, billing, and account notices. Marketing communications are optional and you may opt out at any time without affecting your service notices. You agree that electronic communications, records, and signatures satisfy any legal requirement that a communication be in writing.

SUSPENSION AND TERMINATION

You may stop using the Platform and cancel your subscription at any time. We may suspend or terminate your account, restrict features, or remove content if you breach these Terms, if we reasonably suspect fraud or misuse, if required by law, or to protect the Platform and its community. Where practical, we will notify you and give you an opportunity to respond before termination for breach.

On termination: your license to use the Platform ends, subscription billing stops at the end of the applicable period, and treatment of any Stride Credits balance is governed by the Stride Credits section. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, survive termination.

DISCLAIMER OF WARRANTIES

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will meet your requirements, that content is error-free, or that any particular educational, career, or business result will follow from your use of the Platform. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, StrideUp and its officers, directors, employees, agents, and partners will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost opportunities, or lost data, arising from or relating to your use of the Platform. Our total aggregate liability for any claim will not exceed the greater of (a) the amounts you paid to StrideUp in the twelve months before the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including, where applicable, liability for death, personal injury caused by negligence, or fraud.

INDEMNIFICATION

You agree to indemnify and hold StrideUp and its officers, directors, employees, agents, and partners harmless from claims, liabilities, damages, and reasonable costs (including legal fees) brought by a third party arising from: (a) your User Content; (b) your breach of these Terms; (c) your violation of law or of a third party's rights; or (d) business activity you conduct using Founder tier tools. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

GOVERNING LAW

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles, subject to any mandatory consumer protections of the country where you live that cannot be contracted away.

DISPUTE RESOLUTION

If you have a concern, contact us first at contact@strideup.org; most issues can be resolved directly. Any dispute that cannot be resolved informally within 30 days will be finally resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, conducted in English. Hearings may be held by videoconference, or in person in a location the rules designate as reasonably convenient for you. Judgment on the award may be entered in any court with jurisdiction.

To the extent permitted by law, disputes must be brought individually and not as part of a class, collective, or representative action. Either party may bring a qualifying claim in small claims court instead of arbitration, and either party may seek injunctive relief in court for intellectual property misuse or unauthorized access. If the class waiver or arbitration requirement is unenforceable where you live, the dispute will be resolved in the courts of the State of Wyoming, subject to any non-waivable right you have to bring the claim in your local courts.

CHANGES TO THESE TERMS

We may update these Terms as the Platform evolves. If a change is material, we will notify you through the Platform, by email, or both, before it takes effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription before the change takes effect.

GENERAL PROVISIONS

These Terms, together with the Privacy Policy and any supplemental program terms, are the entire agreement between you and StrideUp regarding the Platform. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms; we may assign ours in connection with a merger, acquisition, or reorganization. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and StrideUp.
